The Applicant acknowledges having read and understood the following terms:
1. I understand that in order to become a Nature's Window/Superherb distributor, I must sign the application of distributorship and return it to Nature's Window/Superherb. Upon acceptance, I will be entitled to purchase all other products at the distributors discount. Apart from these conditions, there are no other payments or purchases required to become a distributor. I understand that if I wish to build a successful retail business I should expect to spend personal time, effort and to incur additional expenses for such materials and items as product samples, sales aids, business forms, shipping costs, telephone and travel expenses.
2. I understand that the purchases of any products, sales aids or any Nature's Window/Superherb products is strictly voluntary.
3. I understand that the Nature's Window/Superherb sales program described in official Nature's Window/Superherb literature delineates payments of bonuses and commissions based upon my purchase volumn and that of my downline. I do also understand that no one can guarantee or assure me that I will achieve any level of success or earnings as a result of purchasing any product I might choose to order or of otherwise participate in the Nature's Window/Superherb program.
4. I understand that a direct selling program is a very competitive business that is subject to the same risks associated with any business venture. Nature's Window/Superherb makes no guarantee or assurance at all regarding any sales, success or income or loss which may result from the activities associated with Nature's Window/Superherb. Nature's Window/Superherb cautions new participants not to leave their existing employment to pursue a Nature's Window/Superherb distributorship full-time until they have established themselves for several months with the experience and client base sufficient to rely upon their distributorship as a means of support.
5. I understand that my affiliation and relationship to Nature's Window/Superherb is an independent contractor, and I am not authorized to bind Nature's Window/Superherb or incur any obligation to Nature's Window/Superherb. In addition my sponsor, direct distributor and upline distributors are independent distributors not authorized to bind Nature's Window/Superherb or to make representations except to the extent expressly permitted by the terms of the rules and guidelines set forth by Nature's Window/Superherb official literature.
6. This Agreement cannot be amended or modified and no term may be waived except by Nature's Window/Superherb. Any attempt to amend, or waive or alter that does not comply with the preceding sentence is void. Nature's Window/Superherb reserves the right to amend the Nature's Window/Superherb sales program and any provisions or rules regarding the Nature's Window/Superherb compensation program, sales program or other official Nature's Window/Superherb literature from time to time as it deems appropriate. I also acknowledge that changes in programs could affect my percentages of compensation. I agree that at such time that changes do occur I may opt to either continue as a distributor subject to the new changes or terminate my distributorship.
7. I agree that as an independent contractor, I will be solely responsible for all statements made regarding Nature's Window/Superherb goods, services and compensation plan which are not expressly contained in the Nature's Window/Superher official literature or policies.
8. I understand that as a Representitive I am an independent contractor, not an agent, employee or franchise of Nature's Window L.L.C. or Superherb. I also understand that as a representative I will not be treated as an employee for federal or state tax purposes. In addition I will not be treated as an employee for the purposes of the Federal Unemployment Tax Act, Federal Insurance Contribution Act, Social Security Act, State Unemployment Act or State Employment Security Act. I understand and agree to pay all applicable federal and state income taxes, self employment taxes, sales taxes, local taxes and/or local license fees that may become due as a result of my activities under this Agreement.
9. I understand and agree that because of the personal nature of this Agreement it may not be transferred or otherwise assigned without the prior written consent of Nature's Window L.L.C. and Superherb.
10. No purchase of goods is required to become a distributor. No recruitment fee of any kind maybe solicited for the mere act of sponsoring others. I agree that I will not make any representations regarding the actual, potiential or expected earnings of any representitive of Nature's Window/Superherb.
11. I agree not to re-package or label any of Nature's Window or Superherbs goods under any other label or name for the purposes of re-selling them. I further agree not to reproduce any of Nature's Window or Superherbs literature without written consent from Nature's Window and Superherb.
12. I agree that if I indeed sponsor another representitive I will perform a supervisory, distributive and selling function in connection with the sale of Nature's Window's and Superherbs products to the consumer. I also agree that I will train any representitive that I may sponsor in the performance of these functions. I agree to have continued communication and supervisory contact with my personal sales organization as it relates to Nature's Window and Superherb.
13. The term of this Agreement is one year. The Agreement will automatically end one year from the date that it was signed and excepted by Nature's Window/Superherb unless a new Agreement is signed, submitted and accepted by Nature's Window/Superherb. I understand that I must apply and renew my Agreement annually. If this is done electronically through an E-Mail delivery system then the sender must receive a conformation of acceptance from Nature's Window/Superherb for their Agreement to be valid.
14. I agree that if I terminate this Agreement in writting or if I am terminated do to a violation of this Agreement I forfeit any compensation.
15. I understand and agree that this Agreement including Nature's Window/Superherb's policies and all of it's official literature constitute the entire Agreement between the parties hereto. I have read this Agreement and have been given the opportunity to fully review the most current version of the Terms & Conditions, Policies and official literature and agree to abide by and be bound by the terms contained therein.
